Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Signodex (“Company,” “we,” “us,” or “our”) governing your access to and use of the Signodex mobile application, website, and all related services (collectively, the “Service”).

By creating an account, downloading the application, or otherwise accessing the Service, you affirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or in-app notification. Your continued use of the Service following such notification constitutes your acceptance of the updated Terms.

2. Description of Service

Signodex is a financial market analysis and portfolio tracking platform. The Service provides:

• ·Real-time and delayed market price data for cryptocurrency, equities, precious metals, and foreign exchange instruments.
• ·Technical analysis indicators calculated from market data (e.g., RSI, MACD, Bollinger Bands, moving averages).
• ·AI-powered market analysis and signal generation using Anthropic's Claude AI model, delivered as informational content only.
• ·Portfolio tracking tools allowing you to record and monitor the performance of asset holdings you manually enter.
• ·Price alert notifications based on criteria you configure.
• ·Educational content and market commentary for informational purposes.

The Service is provided for informational and analytical purposes only. Nothing in the Service constitutes investment advice, financial advice, trading advice, or any other type of advice. See Section 6 (AI Analysis Disclaimer) for critical limitations.

3. Account Registration & Eligibility

To access certain features of the Service, you must create an account. By registering, you represent and warrant that:

• ·You are at least 18 years of age. The Service is not intended for individuals under 18.
• ·You are registering as an individual for your own personal, non-commercial use unless you have entered into a separate commercial agreement with us.
• ·You have not been previously suspended or removed from the Service.
• ·You will maintain only one account. Creating multiple accounts to circumvent restrictions or obtain additional free credits is prohibited.
• ·The information you provide during registration is accurate, current, and complete, and you will keep it updated.
• ·You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• ·You will promptly notify us of any unauthorized access to or use of your account at privacy@signodex.com.

4. Subscription & Credits

4.1 Subscription Plans

Signodex offers a Free plan and paid subscription plans (Pro at $9.99/month or $95.88/year; Premium at $24.99/month or $239.88/year). Paid plans are billed in advance on a monthly or annual cycle. All prices are in USD and do not include applicable taxes.

4.2 Auto-Renewal

Subscriptions automatically renew at the end of each billing period at the then-current price unless you cancel before the renewal date. You may cancel your subscription at any time through the app store settings (Apple App Store or Google Play Store). Cancellation takes effect at the end of the current billing period.

4.3 Credits System

Each subscription tier includes a monthly credit allowance (Free: 100; Pro: 1,500; Premium: 5,000). Credits reset on your monthly billing anniversary. Unused credits do not roll over to the next period. Add-on credit packs are available for Pro and Premium subscribers and expire 90 days after purchase.

4.4 Refund Policy

Annual subscription purchases are eligible for a full refund within 7 days of the initial purchase if you have not used any AI analysis features. Monthly subscriptions and add-on credit packs are non-refundable once the billing period has begun or credits have been used. All refund requests must be submitted to legal@signodex.com. Refunds for purchases made through app stores are subject to Apple’s or Google’s respective refund policies.

4.5 Price Changes

We reserve the right to change subscription pricing at any time. We will provide at least 30 days’ notice of any price changes. Continued use of the Service after a price change takes effect constitutes agreement to pay the new price.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You specifically agree NOT to:

• ×Use automated bots, scrapers, or tools to extract data from the Service without our express written permission.
• ×Reproduce, distribute, resell, or commercially exploit any market data, AI analysis outputs, or other content from the Service.
• ×Attempt to manipulate, reverse-engineer, decompile, or disassemble the Service or its underlying technology.
• ×Use the Service to engage in market manipulation, wash trading, front-running, or any other form of market abuse.
• ×Share your account credentials with others or allow third parties to access the Service through your account.
• ×Circumvent, disable, or interfere with security features, including credit limits or access controls.
• ×Use the Service in any manner that could damage, disable, overburden, or impair our servers or networks.
• ×Submit false, misleading, or fraudulent information.
• ×Violate any applicable local, national, or international law or regulation, including securities laws.

We reserve the right to terminate or suspend your account immediately, without prior notice, for any violation of these acceptable use provisions.

6. AI Analysis Disclaimer

You acknowledge and agree that:

• ·Past performance is not indicative of future results. Historical patterns identified by AI analysis do not guarantee future market behavior.
• ·AI models can be wrong. AI analysis is based on pattern recognition from historical data and may fail to account for unprecedented events, market manipulation, or structural market changes.
• ·Market data may be delayed, inaccurate, or incomplete. Technical issues, data provider outages, or API limitations may affect data quality.
• ·You are solely responsible for any investment or trading decisions you make. Signodex bears no liability for any financial losses incurred as a result of relying on our AI analysis.
• ·You should consult a licensed financial advisor, broker, or investment professional before making any investment decision.
• ·AI outputs use probabilistic language (such as "pattern suggests," "indicator shows," "historically") and should not be interpreted as certainties or guarantees.

7. Intellectual Property

The Service and its original content, features, and functionality — including but not limited to software, algorithms, user interface designs, graphics, text, and trade secrets — are and will remain the exclusive property of Signodex and its licensors. The Service is protected by copyright, trademark, and other applicable intellectual property laws.

You retain full ownership of all data you voluntarily submit to the Service, including your portfolio data and account information (“User Data”). By submitting User Data, you grant Signodex a limited, non-exclusive, worldwide, royalty-free license to use, store, and process your User Data solely to provide you with the Service. We do not sell your User Data to third parties.

The Signodex name, logo, and all related marks are trademarks of Signodex. You may not use these marks without our prior written permission.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SIGNODEX, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• ·Your access to or use of (or inability to access or use) the Service;
• ·Any conduct or content of any third party on the Service;
• ·Any content obtained from the Service, including AI-generated analysis;
• ·Unauthorized access, use, or alteration of your transmissions or content;
• ·Any investment or trading decisions made based on information from the Service.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO SIGNODEX IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, the above limitations apply to the fullest extent permitted by law.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, USA.

If you are a consumer resident in the European Union, you may also benefit from mandatory provisions of the law of the country in which you are resident, and nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions.

10. Changes to Terms

We reserve the right to modify these Terms at any time at our sole discretion. When we make material changes, we will provide notice through the Service (e.g., an in-app notification or banner) and/or by sending an email to the address associated with your account at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of those Terms. If you do not agree to the new Terms, you must stop using the Service and may delete your account.
